Terms of Service

These Terms of Service (“Terms”) govern your use of the Clerius application at app.clerius.ai and related services (the “Service”) operated by Clerius (“we”, “us”, “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

Clerius is an accounts payable automation platform for NetSuite clients. The Service extracts data from vendor invoices using AI, matches vendors, codes general ledger entries, and optionally pushes bills to your NetSuite account.

2. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete information when creating your account.

You must notify us immediately at info@clerius.ai if you become aware of any unauthorised access to your account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to process data you do not have the right to process
• Circumvent usage limits, rate limits, or abuse protections
• Share your account credentials with others or allow others to access the Service through your account

4. Your Data

You retain ownership of all data you upload to or create within the Service (“Your Data”). We do not claim any ownership rights over Your Data.

You grant us a limited licence to process Your Data solely to provide and improve the Service. This includes sending invoice PDFs and chat messages to our AI processing provider (Anthropic) for data extraction and AI assistant functionality.

You are responsible for ensuring you have the right to upload and process Your Data through the Service, including any NetSuite data, invoice PDFs, and email contents.

5. NetSuite and Third-Party Integrations

The Service integrates with Oracle NetSuite and Microsoft 365. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or security of third-party services.

You are responsible for ensuring your NetSuite and Microsoft 365 credentials are valid and that you have appropriate permissions to connect these services.

6. Service Plans and Payment

The Service is offered in tiered plans (Starter, Plus, Pro) with varying features. Plan details and pricing are available on our website. We reserve the right to modify pricing with 30 days' notice.

7. AI Processing Disclaimer

The Service uses artificial intelligence to extract and process invoice data. While we strive for accuracy, AI-generated outputs may contain errors. You are responsible for reviewing all extracted data before exporting to CSV or pushing to NetSuite. We are not liable for errors in AI-generated outputs, including incorrect vendor matching, account coding, tax calculations, or data extraction.

8. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9. Usage Limits

The Service includes usage limits such as daily AI token budgets, request rate limits, and conversation turn limits. These limits exist to ensure fair usage and service reliability. If you consistently reach these limits, contact us to discuss your needs.

10. Limitation of Liability

To the maximum extent permitted by law, the Service is provided “as is” without warranties of any kind, whether express or implied.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the fees you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. You may stop using the Service and request account deletion by contacting us at info@clerius.ai.

We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service with reasonable notice.

Upon termination, we will delete your data within 30 days unless retention is required by law.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Continued use of the Service after changes constitutes acceptance.
